Definitions & Interpretation

  1. In these Conditions, the following words shall have the following meanings:
    1. "Buyer" means the person(s), firm or company who purchases the Goods from the Seller;
    2. "Contract" means the contract between the Seller and the Buyer for the sale and purchase of the Goods, incorporating these Conditions;
    3. "Goods" means any goods agreed in the Contract to be supplied to the Buyer by the Seller (including any part or parts of them);
    4. "Order Form" means the Seller's standard order form for Goods.
    5. "Seller" means Best Online LTD trading as Beststickers.co.uk of/ having its registered office at 146 Hinkler Road, Thornhill, Southampton, SO19 6FY;

  1. The Contract will be on these Conditions to the exclusion of all other terms and conditions (including any terms or conditions which the Buyer purports to apply under any purchase order, confirmation of order, specification or other document).
  2. Each order for Goods by the Buyer from the Seller shall be on an Order Form and shall be deemed to be an offer by the Buyer to purchase Goods subject to these Conditions.
  3. No order placed by the Buyer shall be deemed to be accepted by the Seller until a written acknowledgement of order is issued by the Seller or (if earlier) the Seller delivers the Goods to the Buyer.
  4. Any quotation is given by the Seller on the basis that no Contract shall come into existence until a written acknowledgement of order is issued by the Seller or (if earlier) the Seller delivers the Goods to the Buyer. Any quotation is valid for a period of 30 days only from its date, provided that the Seller has not previously withdrawn it.
  1. The price for the Goods shall be the price set out in the Seller's price list published on the date of delivery.
  2. Payment of the price for the Goods is due before despatch unless a previously agreed purchase order account is in place in which case payment is due within 30 days of the date of invoice of the Goods.
  3. If payment of the price or any part thereof is not made by the due date, the Seller shall be entitled to charge interest on the outstanding amount from the due date at the rate of 4% over the annual base rate as quoted by the National Westminster Bank PLC, London from the day the amount became due accruing on a daily basis until payment is made.
  1. All illustrations, descriptive matter, specifications and advertising issued by the Seller and any descriptions or illustrations contained in the Seller's catalogues or brochures are issued or published for the sole purpose of giving an approximate idea of the Goods described in them. They will not form part of this Contract.
  1. The Seller will deliver the Goods ordered by the Buyer to the address for delivery specified in the Order Form.
  2. Delivery will be made as soon as possible after the Buyer's order is accepted.
  3. Any dates specified by the Seller for delivery of the Goods are intended to be an estimate, and time of delivery shall not be made of the essence by notice. If no dates are so specified, delivery shall be within a reasonable time.
  1. The Goods are at the risk of the Buyer from the time of delivery.
  2. Ownership of the Goods shall not pass to the Buyer until the Seller has received in full (in cash or cleared funds) all sums due to it in respect of the Goods.
  1. If the Goods delivered are damaged or defective or the delivery is of an incorrect quantity, the Seller shall have no liability to the Buyer unless the Buyer notifies the Seller in writing of the problem within 10 working days of the delivery of the Goods
  1. No variation to these Terms & Conditions is possible unless it is agreed to in writing by both parties
  2. We reserve the right to amend and update these Terms and Conditions at any time without notice but will aim to inform Clients of any substantive changes. These terms and conditions will be available at http://www.beststickers.co.uk/conditions/php.
  3. In the event this document is found to be invalid, illegal or otherwise unenforceable, the validity and enforceability of the remaining provisions shall not be affected in any way or impaired as a result. The clause shall, in as much as possible, be replaced by or interpreted according to the intent expressed by the parties.
  4. The Agreement and the rights of the parties hereto shall be governed and construed in accordance with English Law including Statue Law
